1. Introduction

These Terms govern your use of Focarly (“Service”), operated by MB Biomica (trading as Focarly), Lithuania. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years of age. By creating an account, you represent you are 18 or older. We do not knowingly collect information from anyone under 18 and will delete such accounts immediately upon discovery.

3. Description of Service

Focarly is an AI-powered focus and productivity coaching tool for adults seeking support with executive function, task management, and daily focus. Focarly is NOT a medical device, therapy service, or healthcare provider. We do not diagnose, treat, cure, mitigate, or prevent any medical condition. For medical advice, please consult a qualified healthcare provider.

4. Account registration

Provide accurate information. Safeguard your credentials. You're responsible for activity under your account.

5. Subscription and payment

Pricing at /pricing. Payment processed by Stripe. Recurring charges authorized. Cancel anytime through settings or Stripe Portal — effective end of current billing period. 7-day money-back guarantee for new subscribers.

6. AI disclosure

The Service uses artificial intelligence (Anthropic Claude models) to generate responses and insights. AI-generated content may be imperfect, inaccurate, or inappropriate. Do not rely on it as a substitute for professional advice. See AI Disclosure.

7. User content and license

You retain ownership of content you submit. You grant us a limited, non-exclusive license to process, store, and use your content solely to provide the Service. We do NOT use your content to train AI models unless you explicitly opt in.

8. Prohibited conduct

• Violate laws or regulations
• Circumvent security measures
• Reverse engineer the Service
• Use automated means (bots, scrapers) without written permission
• Resell or redistribute the Service
• Submit harmful, harassing, or unlawful content
• Attempt to manipulate the AI for harmful output
• Impersonate another person

9. Intellectual property

The Service (except User Content) is owned by MB Biomica (trading as Focarly) and protected by copyright, trademark, and other laws. Do not use our marks or branding without written permission.

10. Termination

We may suspend or terminate access for material breach. You may terminate through settings. Surviving sections (ownership, indemnification, liability limits, disputes) remain in effect.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES. FOCARLY IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL, LEGAL, FINANCIAL, OR MENTAL HEALTH ADVICE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR EUR 100.

13. Governing law

EU/EEA users: Lithuania law; disputes in Vilnius courts, subject to mandatory consumer protection rights. US users: Delaware law; binding individual arbitration (AAA Consumer Rules); class action waiver where permitted. Small claims court remains available.

14. Changes

Material changes notified via email at least 30 days before taking effect.
